Terms of Service

These Terms of Service ("Terms") govern your use of the bananalabs.io website and any services provided by AI Studio Pte Ltd ("AI Studio", "we", "us", or "our"), a company based in Singapore. By using our website, contacting us through WhatsApp, email, or Calendly, or engaging us for a project, you agree to these Terms. If you do not agree, please do not use our website or services.

1. Our services

AI Studio designs and builds custom AI agents for businesses — including but not limited to WhatsApp AI agents, voice agents, sales and customer service agents, appointment booking agents, and other bespoke AI-driven automations. Services are delivered as project-based engagements scoped and agreed with each client individually; we do not sell a fixed, off-the-shelf product through this website.

2. Quotes and engagements

Every engagement is quoted individually based on the client's use case, required integrations, volume, and languages. A quote or proposal is not a binding offer until both parties confirm the scope of work and pricing in writing (for example, via a signed proposal, statement of work, or email confirmation). Timelines, deliverables, and payment terms for a given project are set out in that project's specific agreement and take precedence over any general statement made on this website.

3. Client responsibilities

To deliver a working AI agent, we typically need timely access to information and systems from the client, such as product or service content, brand voice guidelines, API credentials, and platform access (for example, WhatsApp Business API, CRM, or calendar systems). Delays in providing these can extend project timelines. Clients are responsible for ensuring they have the right to share any data, content, or third-party accounts provided to us for use in a project.

4. Intellectual property

Unless otherwise agreed in writing for a specific project, AI Studio retains ownership of its pre-existing tools, frameworks, prompt libraries, and general methodologies used to build AI agents ("Background IP"). Upon full payment for a project, the client receives a licence to use the custom configuration, prompts, and integrations built specifically for them ("Deliverables") for their own business purposes. AI Studio may reuse general techniques, non-confidential learnings, and Background IP across other client engagements. Any client-specific data, content, or trade secrets provided to us remain the client's property and are used only to deliver the agreed services.

5. Third-party platforms and dependencies

Our AI agents typically rely on third-party platforms and infrastructure that we do not control, including but not limited to Meta's WhatsApp Business API, Calendly, OpenAI, Anthropic, and hosting providers such as Netlify. We are not responsible for outages, policy changes, pricing changes, or service interruptions caused by these third parties, though we will make reasonable efforts to notify clients and adapt where possible.

6. Fees and payment

Fees for a project are set out in that project's quote or agreement and are typically payable in Singapore Dollars (SGD) unless otherwise agreed. Late payment may result in suspension of ongoing services or support until outstanding amounts are settled. All fees are exclusive of any applicable taxes unless stated otherwise.

7. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information disclosed during an engagement, and to use it only for the purposes of that engagement, except where disclosure is required by law.

8. Disclaimers

AI agents built by AI Studio use large language models and third-party AI providers, which can produce inaccurate, incomplete, or unexpected outputs. We take reasonable steps to configure, test, and tune agents for accuracy and appropriate escalation, but we do not guarantee that any AI agent will be error-free, uninterrupted, or fit for every use case. Clients are responsible for reviewing and approving agent behaviour before full deployment and for monitoring live performance, particularly in regulated or high-stakes use cases (for example, medical, legal, or financial advice).

Our website and general content are provided "as is" without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

9. Limitation of liability

To the fullest extent permitted by law, AI Studio Pte Ltd's total liability arising out of or in connection with any service, whether in contract, tort, or otherwise, is limited to the total fees paid by the client for the specific project giving rise to the claim in the twelve (12) months preceding the event. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such damages. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Singapore law.

10. Termination

Either party may terminate a specific project engagement in accordance with the terms set out in that project's agreement. In the absence of a specific agreement, either party may terminate an ongoing engagement with reasonable written notice, with fees payable for work completed up to the termination date.

11. Changes to these Terms

We may update these Terms from time to time to reflect changes in our services or legal requirements. The effective date at the top of this page will be updated whenever a material change is made. Continued use of our website or services after an update constitutes acceptance of the revised Terms. For active client engagements, the terms agreed in the specific project agreement will continue to govern that engagement unless both parties agree otherwise.

12. Governing law

These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms or our services will be subject to the exclusive jurisdiction of the courts of Singapore.
